             ARM Announces Results of Extraordinary General Meeting



CAMBRIDGE, U.K. - Dec. 23, 2004 -- ARM Holdings plc (LSE: ARM); (Nasdaq: ARMHY)
announces that the acquisition of Artisan Components, Inc. ("Artisan") was
approved by ARM's shareholders at the Extraordinary General Meeting held earlier
today and that all the resolutions proposed at the meeting were passed.

Subject to approval by Artisan stockholders of the acquisition at the special
meeting of Artisan stockholders convened for 6.00pm U.K. time today, the
acquisition of Artisan by ARM is expected to become effective today.
